(“Nio Corp” or the “company“) NB NIOBF is pleased to announce that it will hold its 2022 Annual General Meeting (“AGM”) on 10 a.m. mountain time on ThursdayDecember 15, 2022, at 7000 S. Yosemite Street, Lower Level Conference Room, Centennial Celebration, Colorado80112.
Registered shareholders as of October 20, 2022, may vote their shares on the proposals to be considered at the general meeting either by proxy before the meeting or at the meeting. Powers of attorney or instructions must be received on at the latest 10:00 a.m. mountain timeon December 13, 2022, or at least 48 hours before the general meeting is reconvened after an adjournment or postponement. The Notice of Meeting, Administrative Information and Proxy Circular and Proxy Form relating to the Annual General Meeting and the Company’s 2022 Annual Report will be published no later than October 28, 2022.
The Company’s shareholders are not expected to take any action at the AGM with respect to the proposed transactions contemplated by the recently announced business combination agreement September 25, 2022under the company, GX Acquisition Corp. II and Big Red Merger Sub Ltd (collectively the “transaction“) or the approval of elements of the proposed transaction. It is expected that a separate special meeting of the Company’s stockholders will be held to consider elements of the proposed transaction.
