(the “Company”) today announces the results of the Company’s annual and special general meeting of shareholders held on Thursday, September 15, 2022. in Bnei Brak, Israel (the “Meeting”). At the meeting, all of the proposals contained in the Company’s management information circular dated August 10, 2022 (the “Circular”) were approved by the required majority of shareholders.
Each of the four candidates listed in the management information circular prepared in connection with the meeting have been elected directors of the company. The Company received proxies and votes at the meeting as indicated below:

Ordinary resolutions approving the Company’s new Israel Option Plan, extending the exercise period of stock options granted to the Chief Executive Officer, granting 250,170 stock options to certain employees and service providers on August 31, 2021, granting 460,000 stock options to the Chief Executive Officer of the Company on June 21, 2022 and the increase in compensation for the Company’s Chief Executive Officer were also each passed by a majority of votes present at the meeting and a majority of votes without interest represented at the meeting.
