The investigation focuses on Okta’s widely touted $6.5 billion on May 3, 2021, its acquisition of Auth0, a leading identity platform for application teams, and the growth prospects for the combined company.
Especially after the acquisition, Okta and its management repeatedly reassured investors that the integration of the Auth0 and Okta sales teams is progressing smoothly.
These statements were challenged on August 31, 2022, when Okta reported second-quarter 2022 financial results, disclosing in part that “our top-line metrics were not there due to challenges surrounding the integration of Auth0 and where we wanted them Okta sales organizations,” and the company lowered its calculated billing projections for the year. During earnings calls with investors that same day, management blamed half of the cut in billing prospects on sales integration issues.
This news sent Okta shares down over 33% on September 1, 2022, hurting investors.
